Terms of Service
The agreement between Facefluence and the businesses that use it: plans, credits, payments, your content, outputs and testimonials.
Draft Draft for counsel review — not yet in force.
Checking for the published version…
Effective date: 21 October 2026
These Terms of Service ("Terms") are an agreement between Interact / Miyabi Agency, Israeli Company No. 201510070, registered in Israel ("we", "us"), and the business that opens an account ("you", the "Client"). They govern Facefluence: our website at https://facefluence.com, the web app, the API, the MCP server and any other way we offer it (together, the "Service").
By creating an account, buying a plan or Credits, or using the Service, you accept these Terms on behalf of your business. If you are not authorised to bind the business, do not use the Service.
1. The agreement and the documents in it
Our agreement with you is made up of:
- these Terms;
- the Acceptable Use Policy (the "AUP"), which says what may not be made or done with the Service;
- the Testimonial Declaration, which you accept each time you order a testimonial video (§13);
- the plan, prices and Credit costs shown to you when you buy or confirm an order ("Order Details").
Our Privacy Policy explains how we handle personal data.
If these documents conflict, these Terms prevail, except that the AUP and the Testimonial Declaration prevail on what content is allowed, Order Details prevail on price and quantity, and an agreement signed by both of us prevails over all of them.
2. Words we use
- Workspace — your account on the Service. It may hold one or more businesses, as your plan allows.
- Member — a person you invite to your Workspace (as owner, admin, editor or viewer).
- Client Content — everything you or your Members provide: business details, product data, photos, videos, logos, documents, reviews, prompts, instructions and chat messages.
- Output — a video, image, voice track, script, caption or other material the Service makes for you.
- Character — an AI-generated presenter, with its look, voice, name, personality and other features. Catalog Characters can be used by any client. An Exclusive Presenter is designed for one client (§12).
- Faceless Content — Outputs without a presenter, such as product videos, motion graphics, slideshows, stills and carousels.
- Producer — the chat in which you describe what you want and the Service suggests concepts and scripts.
- Autopilot — the feature that plans content for you (for example a month of items in a calendar) and makes it.
- Credits — the units you spend on Outputs (§5).
- Facefluence Materials — everything we provide other than Client Content and Outputs, including the software, Characters, voices, templates, music, fonts, prompts and models.
3. Who may use the Service
3.1 Businesses only. The Service is for businesses — companies, partnerships, sole traders and other organisations — that buy it for their business. It is not offered to consumers. When you sign up you confirm that you act for a business, and you give us its legal name, registration or VAT number, and country (note 2).
3.2 Adults acting for the business. Every Member must be at least 18 years old and authorised by the business to use the Service on its behalf.
3.3 Accurate details. You must keep your business, billing and contact details accurate and up to date. We use them to issue tax invoices and to decide which VAT applies (§6).
3.4 Members, seats and connected tools. Your plan sets how many Members (seats) and businesses your Workspace may have (each seat is for one named person). You are responsible for everything done in your Workspace: by Members, through your API keys, and by any automated tool or AI agent you connect to the Service, including orders it confirms and declarations it submits. Keep logins and API keys secure, and tell us at once at support@facefluence.com if you think your account has been misused.
3.5 Agencies. If you use the Service to make content for your own clients, you remain our Client. You must have your clients' authority, make sure the content you make for them complies with these Terms and the AUP, and you are responsible to us for it.
4. The Service
4.1 What it does. The Service makes marketing content for your business with AI: videos and images with Catalog Characters or an Exclusive Presenter, Faceless Content, and voice tracks. You can describe what you want in the Producer, or turn on Autopilot to plan content for you.
4.2 Download only. Outputs are delivered for you to download. The Service does not publish or place anything on social networks, websites or advertising platforms for you. You decide whether, where and how to use an Output. If we later offer publishing, it will be optional, will work only through the platforms' official interfaces after you connect your own accounts, and will come with additional terms.
4.3 Characters are synthetic. Characters are generated by AI. They are not digital copies of real people: none in our catalog is made from a real person's photo or voice. Any resemblance to a real person is unintended — if you notice one, tell us (§11.6).
4.4 Scripts and plans. The Producer and Autopilot suggest concepts, scripts and plans based on what you tell us and the materials you provide, such as your website, products and documents. They are suggestions: you choose what to make, and you are responsible for what you use (§14 and §15).
4.5 Approvals and automatic runs. Before a render starts, the Service shows what will be made and what it costs in Credits, for you to approve. If you turn on automatic runs or approve an Autopilot plan, you authorise us to make the planned items and to charge their Credits as each one is made, within any monthly Credit cap you set for Autopilot.
4.6 Our providers. We use third-party providers to run the Service, including for hosting, AI generation, voice and payments (they are listed in the Privacy Policy). We may change providers and models, as long as the Service keeps working as described.
4.7 Changes to the Service. We may change, add or remove features. If we remove a feature that is a material part of your paid plan, we will give you at least 30 days notice, and you may cancel your plan before the change takes effect.
4.8 Our role. We provide software. We are not your advertising agency or your legal adviser, and we do not decide what you advertise, what your ads claim, or where they run (note 1).
5. Plans and Credits
5.1 What Outputs cost. Outputs are paid for in Credits:
- video: 100 Credits for each second of finished video, with a presenter or faceless;
- image: 100 Credits for each image.
A part-second counts as a whole second. Making the same video in another shape (vertical, square, landscape) or quality may use Credits; the cost is shown first. Writing scripts, the Producer chat, Autopilot plans, captions and edits that need no new render do not use Credits at present. The Credits an Output will cost are shown before you confirm it, and that is the number you are charged for it.
5.2 Changes to Credit costs. We may change how many Credits an Output costs, or what is free, for future orders, with at least 30 days notice. A change never affects an order you have already confirmed.
5.3 Plans. A plan is a monthly subscription. It renews automatically at the start of each billing month (the monthly period that starts on the day your plan started) until you cancel it. Each plan gives a number of Credits for that billing month, plus the features, seats and businesses listed at https://facefluence.com/en/pricing/ or in your Order Details. An upgrade applies at once, with a prorated charge and the extra Credits; a downgrade applies from the next billing month.
5.4 Plan Credits do not roll over. Credits included in a plan are valid only for the billing month they belong to. Any not used by the end of that billing month expire. They are not carried over and not refunded.
5.5 Top-up packs. You can buy extra Credits in packs. Top-up Credits do not expire while your Workspace is open, including after your plan ends.
5.6 Which Credits are used first. The Credits that expire soonest are used first, so plan Credits normally go before top-up Credits.
5.7 What Credits are. Credits are a prepaid right to use the Service. They have no cash value and cannot be exchanged for money. They cannot be sold or transferred to anyone else and can be used only in the Workspace that bought them. They are not refundable except as §8 says.
5.8 Reserve, charge, release. When a render starts, we reserve the Credits it will cost. We charge them when the Output is delivered (ready to download in your Library), and release them if it fails (§8.1). Your balance cannot go below zero: if there are not enough Credits, the order waits until you top up.
5.9 Offers. We may offer trials, promotional Credits or introductory prices (for example a first video at a reduced price). Their conditions, including when any promotional Credits expire, are shown with the offer.
6. Payments, VAT and invoices
6.1 Payment provider. Payments are processed by our payment provider, currently Takbull, an Israeli payment service provider. You enter your card on its payment page; we do not receive or store your full card number . Your card is saved with the provider as a token, so that monthly charges and top-ups can be made without entering it again.
6.2 Currency. Businesses in Israel pay in Israeli new shekels (₪). Businesses outside Israel pay in US dollars. Your card issuer may add its own currency or foreign-transaction fees.
6.3 VAT. Prices are shown before VAT. For businesses in Israel we add VAT at the rate in force (currently 18%). For businesses outside Israel the Service is charged at a zero VAT rate where Israeli law treats it as an exported service (note 5). We decide which applies from the details you give us (§3.3); if they are wrong or change, we may charge the VAT that applies. Any tax due in your own country is yours to account for.
6.4 Tax invoices. Tax invoices and receipts are issued through our payment provider's invoicing system and sent to the billing email on your account. Where Israeli law requires an allocation number (מספר הקצאה) for a tax invoice — currently, broadly, a tax invoice above ₪5,000 before VAT issued to a licensed dealer — it is requested through that system. Make sure your VAT or dealer number is correct.
6.5 Monthly charges. We charge your plan's price to your saved payment method at the start of each billing month.
6.6 Failed payments. If a charge fails, we will tell you and try again (we tell you on the day it fails, and again 3 and 7 days later). If it still fails, we may pause new renders and Autopilot until it is paid, and cancel the plan after 14 days. Credits already paid for stay in your Workspace until they expire.
6.7 Price changes. We may change plan or pack prices with at least 30 days notice. A new plan price applies from your first billing month after the notice period; you may cancel before then.
6.8 Chargebacks. If you dispute a charge with your card issuer without first contacting us, we may suspend your account while the dispute is open.
7. Auto top-up
7.1 Off unless you turn it on.
7.2 How it works. You choose a balance threshold, a pack, and a monthly cap — the most auto top-up may charge in one billing month. Whenever your balance falls below the threshold, we buy the chosen pack and charge your saved card, without asking you each time, until the cap is reached. Then auto top-up stops until the next billing month.
7.3 Your authorisation. By turning auto top-up on, you authorise us to make these charges to your saved card, up to your cap (note 6). We send a receipt for each charge.
7.4 Changing or stopping it. You can change the threshold, the pack or the cap, or switch auto top-up off, at any time in Billing. A change applies to charges made after you save it.
7.5 If it is not available. If your card or our payment route cannot be charged this way, we will ask you to approve each top-up instead.
8. Failed generations, refunds and cancellation
8.1 Failed generations are not charged. If we cannot deliver an Output — because generation fails, or because the Output fails our automatic quality checks and an automatic re-render at our cost does not fix it — you are not charged: the reserved Credits are released to your balance automatically. An Output blocked by our safety checks is not delivered, so its Credits are released too.
8.2 Delivered Outputs. A delivered Output is not refunded because you do not like it. For videos, use your free retries (§9).
8.3 No other refunds. Payments for plans, packs and fees are not refundable, and unused or expired Credits are not refunded, except (a) as §8.1, §11.6 or §17.5 say, (b) where we decide otherwise in a particular case, or (c) where the law requires it.
8.4 Cancelling your plan. You can cancel your plan at any time in Billing. Cancellation takes effect at the end of the current billing month: you keep access and that month's Credits until then, and you are not charged again. We do not refund part of a month.
8.5 Rights the law gives you. Nothing in these Terms removes a right that the law gives you and that cannot be excluded by contract.
9. Free retries
9.1 Free re-renders. For each delivered video you may have shots re-made for free, up to 30% of the video's seconds (about two shots), within 14 days of delivery (plan v4 §8: the shot, not the whole video, is the unit). For each re-render you choose a reason (for example face, voice, pace, text, product or music) and may add a short note; the re-render uses your reason. Changes that need no new rendering — music, volume, captions, trims, order — are always free.
9.2 Same script. A re-render re-makes the same script. Changing the script is a new order: the shots that change are charged at the normal Credit cost.
9.3 Beyond the allowance. Further re-renders of the same video are charged at the normal Credit cost of the seconds re-made.
9.4 Fair use. Free retries are for fixing a video that did not come out right, not for making new content. Free retries are limited to 30% of the videos you make in a billing month. If we reasonably believe free retries are being abused — for example retries on most videos, or reasons that do not match the video — we may end free retries for your Workspace, after telling you why.
9.5 Images. Free retries apply to videos. Each new image, including a retry, uses Credits.
9.6 The earlier version stays. A retry or a fix does not delete the earlier version; both stay in your Library .
10. Your content
10.1 What stays yours, and what is ours. You keep the title you already have in the Client Content you bring — your logo, your product photos, your footage, your documents. Everything else in the Service is ours (or our licensors'): the Service, the Facefluence Materials, and everything the Service writes or makes for you — scripts, hooks, concepts, storyboards, shot lists, captions, publish kits, plans and templates, and the Outputs themselves — which you may use as §11 says (note 18).
10.2 The licence you give us. For all Client Content — including every image, video, voice, document, script, brief, product description, offer and claim you upload, type or connect — you give us a worldwide, perpetual, irrevocable, royalty-free, transferable and sublicensable licence to host, copy, store, process, adapt, translate, edit, combine with other material, make derivative works from and display it, and to send it to our providers, in order to:
(a) run the Service for you: make Outputs, learn your preferences inside your Workspace, run safety, quality and compliance checks, give support, and keep the records the law or these Terms require;
(b) operate, secure, develop and improve the Service, its templates and its defaults;
(c) train and improve our own AI models with Client Content — unless you ask us not to by writing to privacy@facefluence.com, which applies from then on;
(d) show Outputs made for you as examples of our work, without your customers' personal data — unless you ask us not to by writing to privacy@facefluence.com.
The licence does not end when you delete Client Content or close your account, but from then on we use it only for the purposes in (b)–(d) that still apply and for the records in §13, the Testimonial Declaration and the Privacy Policy. For personal data in Client Content, the Privacy Policy decides what we may keep and for how long, whatever this licence says.
10.3 Learning across clients. We may use aggregated, de-identified statistics about how the Service is used — for example which formats are liked in which kinds of business — to improve the Service and its defaults. These statistics do not identify you or your customers.
10.3A Your claims stay your responsibility. The claims, offers, prices and facts in your briefs and Client Content are yours to make and to substantiate (§14). Keeping a copy of them, using them as §10.2 allows, or turning them into a script does not make them our claims.
10.4 Your promises about Client Content. You promise that:
(a) you own, or have permission to use, everything you upload or connect — photos, footage, music, fonts, documents and text — and to let us use it as §10.2 says;
(b) you sell, or are authorised to promote, the products and services you ask us to feature, and the product information you give us is accurate;
(c) you own, or are licensed to use, every logo, brand name and trademark in your Client Content;
(d) every identifiable person in your Client Content — for example staff in a photo or video, or a person whose voice is heard — has given written consent to their image or voice being used in AI-generated advertising, and you will show us that consent if we ask (note 7);
(e) any customer review you give us meets §13 and the Testimonial Declaration;
(f) you do not upload personal data that is not needed to make your content — in particular customer lists, orders, or health or financial records — and you do not upload content that shows minors (AUP §1.2);
(g) your Client Content does not break the AUP or any law.
10.5 Connected stores. If you connect a WordPress or WooCommerce site, the Service imports product information only (such as product names, descriptions, prices and images). It does not import orders or your customers' data . You can disconnect at any time.
10.6 What we learned about you. If you point us to your website or a public profile, we read it to draft your business profile. The Service relies on that profile and on what it learns from your feedback; you can see, correct and delete both under "What we learned about you". Check the draft — the Service will use what it says.
11. Outputs and licences
11.1 Your rights in Outputs. Once an Output has been delivered and paid for, you may use, copy, edit, publish, distribute and advertise with it, in any media, worldwide and with no time limit, to promote your business (or, for an agency, the business of the client it was made for), subject to these Terms and the AUP. We grant you these rights as a perpetual, irrevocable, worldwide, royalty-free, non-exclusive licence; we keep ownership of the Output (§10.1). These rights survive the end of your account.
11.2 Facefluence Materials stay ours. We, or our licensors, keep all rights in the Facefluence Materials, including every Character. You may use a Character, voice, template or piece of music only as it appears in Outputs made with the Service. You may not:
(a) use a Character outside Outputs made with the Service, or make new images, video or audio of a Character with other tools;
(b) clone, extract or imitate a Character's voice or face, or use Outputs to train or fine-tune an AI model;
(c) register a Character, its name or its look as a trademark, or claim it as your own creation;
(d) present a Character as a real person — for example as a real customer, employee, owner or expert — except when it reads a genuine customer review as §13 allows;
(e) separate the music, voice track or other Facefluence Materials from an Output and use, license or sell them on their own.
11.3 Catalog Characters are shared. A Catalog Character can appear in content for many businesses, including your competitors, in any field. Using one gives you no exclusivity.
11.4 Outputs may not be unique or protected. Because of how AI works, Outputs similar to yours may be made for others, and in some countries an Output may not be protected by copyright or any other right. We do not promise that you can stop others from using similar material.
11.5 Third-party material. Some Outputs contain music, fonts or other material licensed to us by third parties (such as music from licensed libraries, and fonts under open licences like the SIL Open Font License). Using it as part of the Output under §11.1 is covered; using it on its own is not.
11.6 If a Character must be withdrawn. If we receive a credible claim that a Character infringes someone's rights, or must be withdrawn for another legal reason, we may retire it and ask you to stop using the affected Outputs. If we do, we will re-make the affected Outputs with another Character at no Credit cost.
12. Exclusive Presenters
12.1 What it is. An Exclusive Presenter is a Character designed with you through the Service — its look, voice, style and personality — that appears only in your Outputs.
12.2 Our promise of exclusivity. While your Exclusive Presenter fee is paid, and for 12 months after it stops, we will not offer your Exclusive Presenter in our catalog, make it available to any other client, or use it to promote any other business or product. We will not use it in our own marketing without your permission. This promise is the whole of your exclusivity.
12.3 What exclusivity is not. AI-generated characters may not be protected by copyright, so exclusivity is a promise in this contract, not ownership of the Character. It applies to the Service only: we cannot stop other people, using other tools, from making a character who looks or sounds like yours. The Exclusive Presenter remains a Facefluence Material (§11.2) that you use through your Outputs.
12.4 Designing it. Your descriptions, choices and feedback during design are Client Content. You must not ask for an Exclusive Presenter to look or sound like a real person, including a celebrity. Exclusive Presenters must appear at least 25 years old.
12.5 Fees. Exclusive Presenter fees (for example a creation fee and a monthly exclusivity fee, or presenters included in your plan) are shown in your Order Details.
12.6 When it ends. When its fee stops or your account ends, an Exclusive Presenter is retired for good: we never offer it to anyone else. It cannot be bought out, and its files stay with us. Outputs already made remain yours to use under §11.1.
13. Testimonials
13.1 Only genuine reviews. Fake or fabricated testimonials, reviews and endorsements are prohibited. You may order a testimonial video only from a genuine review written by a real customer about their own experience of your product or service.
13.2 What you must do every time. For every testimonial video you must (a) paste the review text, or give a link to where the review was published, and (b) tick the Testimonial Declaration. The declaration is required for every testimonial video, and we keep it with the video.
13.3 What the Service does not do. The Service does not write reviews or testimonials, and does not change what a customer wrote except for a faithful excerpt or translation that keeps the meaning, which you approve before rendering. Autopilot never plans or makes testimonials.
13.4 How a review is presented. The presenter delivers the review as the customer's words — for example "Here's what Dana wrote about us: …". A presenter must never be presented as the customer, and nothing may be added that the customer did not say. If the presenter speaks a review in the first person, your ad must clearly disclose that the presenter is an AI character and not the customer.
13.5 What counts as a testimonial. Any Output that conveys a customer's opinion or experience of your product is a testimonial — including scripts in which a presenter says "I tried it" — and must go through this process. Outside it, a presenter may describe your product but must not claim or imply that they used it or experienced it (AUP §1.9).
13.6 Results and rewards. If a review mentions results, you must be able to show that they are typical, or say clearly what results customers can generally expect. If the customer received anything for the review, your ad must say so.
13.7 Breaking these rules leads to removal of the videos concerned and to suspension or termination of your account, without refund of fees or Credits. We keep the records and may give them to the competent authorities where the law requires or allows it.
14. Your ads, your claims and the disclosures they need
14.1 Your claims are yours. You alone are responsible for the truth, accuracy and legality of every claim in content you make with the Service and use — about your products, prices, results, health or money — and for holding evidence for each claim before you publish it. We do not check or approve claims. A warning from the Service (for example, that ad platforms often reject ads promising medical results) is a courtesy: neither a warning nor its absence is legal advice or approval.
14.2 Disclosures where you publish. You are responsible for every disclosure that the law or a platform requires where you publish or advertise, including:
- That it is an ad. For example, in Israel an advertisement that a reasonable person might not recognise as one is misleading. The Attorney General's position is that the notice (such as "פרסומת") must appear clearly at the start of the post, in Hebrew, visible without clicking, and that tagging the brand is not enough.
- That a presenter is AI-generated, where this is required. For example, New York law requires an ad that features a synthetic performer to say so conspicuously (since 9 June 2026); in the European Union, the AI Act (Article 50(4), from 2 August 2026) requires those who use AI to make realistic image, audio or video content that could pass as authentic to disclose that it is AI-generated, and the European Commission's draft guidance reads this to include realistic people who do not exist; TikTok, YouTube and Meta have their own AI-content labels and settings — TikTok, for example, rejects or restricts ads with undisclosed AI-generated content.
- Platform rules on advertising, branded content and AI content, which change often.
14.3 Every presenter is a synthetic performer. Every Character is AI-generated: treat every video with a presenter as AI-generated content under these rules. The more an Output looks like an ordinary person's own post, the more these disclosures matter.
14.4 Invisible marks. Every Output carries an invisible watermark and provenance metadata (content credentials) that record that it was made with AI and with Facefluence. There is no visible watermark, and there is no unmarked version of an Output. Platforms may read these marks and add their own AI label — some (for example TikTok and YouTube) do so automatically and do not let the poster remove it; we do not control that. You must not deliberately remove, alter or hide the marks, or try to. The marks do not replace the disclosures in §14.2, and a platform's automatic label may not replace them either.
14.5 Suggested caption. Each download comes with suggested disclosure text (for example "Ad · AI-generated presenter"). Whether and how you use it is your choice and your responsibility.
14.6 Taking content down. If we ask you to remove a published Output because it breaks these Terms or the AUP, or because a complaint or an authority requires it, you must take it down within 48 hours and tell us when it is done.
15. What AI can and cannot do
- Outputs are generated by AI and can be wrong or unexpected. They may contain mistakes in what is said or written, show your product inaccurately (its shape, colour, label or size), mispronounce or mistranslate words, or contain errors in captions or on-screen text.
- Scripts and plans from the Producer and Autopilot are based on what you give us, but AI can still state prices, features or facts that are wrong. Check every script and Output before you use it. Showing your product inaccurately can itself be misleading advertising.
- Outputs are not legal, medical, financial or other professional advice.
- We do not promise that an Output will be approved by an advertising platform, reach any audience, or achieve any result.
- Delivery times are estimates. Videos are made in batches and may take hours .
16. Acceptable use
You must follow the AUP. Among other things, you must not use the Service for sexual content or nudity; content showing minors, or Characters who look younger than 25; violence or gore; profanity; hate or harassment; impersonation of real people or celebrities without their consent; illegal products; political or election ads; or fake reviews, testimonials or endorsements, including passing a Character off as a real customer. You must not try to get around our safety checks, access other clients' data, overload or reverse-engineer the Service, or resell it or its Credits. We may refuse any request, or withhold any Output, that we reasonably believe breaks the AUP or the law.
17. Suspension and termination
17.1 By you. You can close your account at any time in the app (Account → Privacy & data), or by writing to support@facefluence.com. §8.4 applies to your plan.
17.2 By us, at once. We may suspend or terminate your account immediately, without notice, if we reasonably believe that you or a Member seriously broke the AUP (for example with sexual content, content showing minors, impersonation of a real person, or a fake testimonial), broke §13, or committed or attempted fraud, or if we must do so by law or to protect people, the Service or other clients.
17.3 By us, with notice. For other breaches, including non-payment, we will tell you what is wrong and give you 14 days to fix it before we suspend or terminate.
17.4 If we stop offering the Service, we will give you at least 30 days notice.
17.5 What happens next. When your account ends, your access ends, your plan and auto top-up stop, and unused Credits lapse. After an ordinary end you may download your Outputs for 30 days; after termination under §17.2 you may not. After that we delete your data as the Privacy Policy says. If we terminate for your breach, no refund is due. If we close your account without a breach by you, or stop offering the Service under §17.4, we will refund prepaid fees for the unused period and unused top-up Credits.
17.6 What survives. §10.2 (for the copies and records it lets us keep), §11, §12.3, §13.7, §14, §15, §18 to §21, §23 and any amounts owed survive the end of your account.
18. Disclaimer of warranties
To the extent the law allows, the Service, the Characters and the Outputs are provided "as is" and "as available". We make no promise, express or implied, that the Service will be uninterrupted, error-free or secure, or that Outputs will be accurate, unique, fit for any purpose, lawful to publish in any place, accepted by any platform, or free of third-party claims, and we make no promise of any commercial result (note 12).
19. Limitation of liability
19.1 To the extent the law allows, we are not liable for indirect or consequential loss; for loss of profit, revenue or business; for lost data; for the rejection or removal of ads; or for any action a platform takes against your accounts.
19.2 Our total liability for all claims arising from or relating to the Service in any 12-month period is limited to the amounts you paid us in the 12 months before the event that gave rise to the claim.
19.3 These limits do not apply where the law does not allow liability to be limited (such as liability for fraud, wilful misconduct, or death or personal injury caused by negligence).
20. Indemnity
20.1 You will defend and indemnify us, our officers, employees and contractors against third-party claims, losses, damages, fines, penalties and reasonable costs (including legal fees) arising from: (a) your Client Content; (b) your ads and claims, and how and where you use Outputs; (c) missing or wrong disclosures (§14); (d) a breach of §13 or of the Testimonial Declaration; (e) a breach of these Terms or the AUP by you, a Member or a tool you connect; or (f) your breach of the law or of anyone's rights (note 12).
20.2 We will tell you promptly about a claim and cooperate with your defence at your cost. You may not settle a claim in a way that admits fault on our behalf or binds us, without our written consent.
21. Governing law and courts
These Terms are governed by the laws of the State of Israel. The competent courts of the Haifa district have exclusive jurisdiction over any dispute arising from or relating to them.
22. Changes to these Terms
22.1 Every version is kept. Each version of these Terms, and of every other document in §1, has its own date and its own permanent page at https://facefluence.com/en/legal/terms/; earlier versions stay readable there.
22.2 How we tell you. When we change a document that applies to you, we tell every user of your Workspace by email and in the Service (and by push notification on devices where you turned them on), with a summary of what changed and the date it takes effect. For a material change we give at least 30 days notice, unless a change is needed sooner for legal or security reasons. These are service messages: they cannot be switched off.
22.3 Material changes are accepted by a click. From the date a material change takes effect, the Service shows the change and asks each user to read it and accept it — by ticking an unticked box and pressing a button that says what the press means — before they can keep working. Until then the Service is read-only for that user: you can still see and download your content, export your data and close your account. If you do not agree, you may cancel before the change takes effect and keep what §11 lets you keep (note 19).
22.4 Other changes take effect on the date we give, after the notice in §22.2; continuing to use the Service after that date means you accept them.
22.5 The record. We keep a record of the notices we sent (which channel, when, and whether it was delivered) and of each acceptance (who, which version, when, the text shown, the language, the button pressed, IP address and browser), as evidence of the agreement between us. An app, API key or AI agent acting for you cannot accept a document — only a person can, in the Service.
23. General
- Language. These Terms are offered in English; a Hebrew version will follow. If the two versions differ, the English version prevails.
- Whole agreement. These Terms and the documents in §1 are the whole agreement between us about the Service.
- Transfer. You may not transfer your account or these Terms without our written consent. We may transfer them to a company that takes over the Service.
- Events beyond control. Neither of us is liable for delay or failure caused by events beyond its reasonable control, except for paying amounts due.
- Severability. If a provision is found unenforceable, the rest stays in force.
- No waiver. Not enforcing a right is not giving it up.
- Notices. We send notices to the email address of your Workspace owner. You send notices to legal@facefluence.com.
